Meaning
Monetary estimation of the portion of a company’s worth attributed to founders or employees that is not yet reflected in paid-in capital or formal stock issuances. Implied equity often appears in discussions about sweat equity or unvested grants. It represents the value of labor or intellectual property contributed to the venture.
Valuation Basis
Market pricing provides the reference for calculating these values. While a founder may not have a cash balance in the firm, the implied equity is found by looking at the most recent share price paid by outside investors. This figure shifts as the company reaches new milestones or raises capital at higher valuations.
Vesting Schedule
Time requirement controls the transition from potential to actual ownership. Implied equity remains a theoretical figure until the vesting conditions are met and the shares are formally issued. Until that point, the value is contingent on the holder remaining with the organization.
Compensation Utility
Recruiting value allows a cash-poor startup to attract high-level talent. By offering a stake that has a high implied equity based on current projections, the firm competes with larger entities that offer higher salaries. This promise depends on the company eventually achieving a liquidity event.
Early employees often accept lower cash salaries in exchange for the upside represented by this theoretical stake.
