Meaning
Undocumented arrangements represent commitments made outside of the primary legal or digital ledger. An off chain promise exists when founders agree on equity splits or asset transfers in conversation or email but do not record them on the official corporate registry. This dynamic creates a parallel system of obligations.
It relies entirely on the personal goodwill of the parties involved rather than contractual security.
Informal Agreement
Promised assets or shares often occur during the early, high-speed phase of a startup when formal contracts seem unnecessary. Founders might make an off chain promise to an early advisor, promising a percentage of the company in exchange for introductions. While convenient, these agreements are rarely tracked by legal teams.
This creates a risk that the promise will be forgotten or ignored as the company scales.
Enforcement Obstacle
Recovering value from informal arrangements is extremely difficult under standard business law. Because the off chain promise lacks formal entry in the corporate books, courts may view it as an incomplete negotiation. This lack of formal documentation means the claimant has little leverage.
To resolve this, the claimant must prove the existence of the agreement through secondary communications.
Capital Risk
Unrecorded agreements can derail later investment rounds if they come to light. Investors will not proceed until every off chain promise is either formalized or legally terminated. This can cost substantial time and legal fees.
