Meaning
Unsecured commitments involve an individual promising to fulfill the obligations of a legal entity using their own assets. In the context of a startup loan or lease, personal guarantees remove the corporate veil that typically protects a founder from business losses.
Liability Scope
Full recourse allows a creditor to pursue any and all personal assets to satisfy a debt. Some agreements include a limited guarantee that caps the individual liability at a specific dollar amount or a percentage of the total obligation. This distinction alters the risk profile of the signer significantly.
Release Event
Specific milestones in a company’s growth may trigger the termination of a guarantee. Reaching a certain revenue target or securing a new round of institutional funding can satisfy the lender requirement for individual backing. A formal letter of release is the only record that proves the obligation has ended.
Default Consequence
Failure by the business to pay triggers a demand for payment from the guarantor. This process does not require the lender to exhaust all remedies against the business first unless a guarantee of collection is specified. The immediate cost to the individual is the loss of liquidity and the potential seizure of real estate or personal holdings.
