Meaning
Restitution sought by a party to recoup the costs incurred while acting in expectation of a fulfilled agreement. A reliance recovery compensates a founder for the resources spent before a contract was breached, such as travel, market research, professional fees and prototype materials. This remedy functions to return the individual to the original financial state rather than awarding them the value of a successful exit.
This form of remedy is common when the future profits of a venture are too speculative to calculate.
Reimbursable Cost
Only expenditures that were necessary for the performance of the anticipated deal are eligible for this type of return. When a founder files for a reliance recovery, the application must exclude any personal costs that were not strictly related to the business opportunity. A receipt for a shared workspace used for multiple projects might be split or rejected entirely.
The focus remains on the specific damage caused by the reliance on the broken promise.
Evidence Quality
The success of a claim depends on the meticulousness of the record keeping during the pre-deal phase. A reliance recovery is built on a foundation of bank statements, signed invoices, timestamped communications and contemporaneous notes that link each cost to a specific milestone of the failed deal. Without this trail, the claim is often reduced to a verbal dispute that is difficult to win.
Professional services, such as accounting or specialized consulting, are usually readily recoverable because they are clearly documented. Small cash payments or unrecorded favors are almost always lost.
Legal Threshold
Courts generally require that the costs were reasonable and foreseeable by the party that made the promise. If the spending was excessive for the stage of the deal, the reliance recovery will be limited to what a typical person would have spent. This prevents founders from using a breach as an opportunity to offload unrelated debts.
