Meaning
Intellectual property protection that grants the creator of an original computer program the exclusive right to reproduce or distribute the code. Software copyright protects the specific expression of the code but not the underlying ideas. It exists from the moment the code is fixed in a digital medium.
Ownership Record
Assignment documentation proves that the company owns the work created by its developers. Because software copyright initially belongs to the human creator, a founder must ensure that every employee and contractor signs an agreement transferring those rights to the entity. Without these records, the company may not have the right to sell or license its own product.
Clear chains of title are required for any corporate transaction or technical audit.
Registration Benefit
Legal leverage increases when the work is filed with a government office. While software copyright is automatic, formal registration is often required before a lawsuit can be filed for infringement. It also allows for the recovery of statutory damages and attorney fees.
Functional Limit
Boundary condition prevents the use of this protection to stop competitors from building similar tools. Software copyright does not cover the logic or the user interface if those elements are purely functional. Other forms of protection like patents or trade secrets are needed to cover the way the software solves a problem.
