Meaning
Property rights held without encumbrance or third party claim facilitate the legal transfer of equity between parties. This status represents clean title in the context of corporate ownership.
Title History
Documentation proving the origin and transfer of shares establishes the right of a seller to move the asset. A break in the chain occurs when a previous transfer was not properly authorized or recorded. Maintaining a clean title requires physical or digital possession of all prior share certificates and cancellation records.
Encumbrance Identification
Liens or pledges against the shares are discovered through a search of public filings and internal ledger notes. These restrictions prevent the owner from selling the asset until the debt is paid or the restriction is waived. Ownership must be free from liens, legal disputes, encumbrances or competing claims.
A lack of clean title prevents the close of a transaction until the cloud on the ownership is removed by the seller.
Remediation Effort
Fixing a title defect involves obtaining a signed waiver or a court order to clear the record. This process is time consuming and requires cooperation from former employees or investors. Successful remediation restores the ability of the shareholder to participate in an exit.
