Meaning
Agency law designates a power of representation as irrevocable when the grant is linked directly to a property stake, debt security or legal entitlement held by the designated agent. Under this condition, being coupled with an interest prevents a principal from terminating an appointment at will, because authority exists to secure an external benefit belonging to the agent rather than executing the principal’s continuing instructions. The designation applies across security agreements, partnership delegations and proxy voting appointments.
The rule stops functioning when the underlying economic right, secured debt or property stake is satisfied, extinguished or proved nonexistent in contemporary title records.
Revocation Barrier
Common law permits a principal to withdraw delegated authority at any hour, yet agency coupled with an interest strips away that default privilege. The restraint protects capital contributors and lenders who demand management intervention rights alongside cash infusions. A founder who signs away voting proxy powers under this classification cannot extinguish the delegate’s authority by sending written notice of revocation.
The appointment binds both parties because the power forms consideration for the underlying debt or property assignment. Authority persists despite the formal withdrawal of consent, mental incapacity or bankruptcy of the grantor.
Evidentiary Nexus
Enforcing irrevocability requires precise paper linkage between the grant of operational authority and the specific economic interest it secures. A document declaring that an agency is coupled with an interest fails when contemporary records show no independent financial stake held by the designated agent. Unfounded assertions of shared purpose or operational alignment do not qualify as legal interests under corporate statutes.
The agent must produce signed assignments, loan instruments or share transfer certificates dated prior to or concurrent with the delegation. When documentation of the debt or equity interest is defective, the agency reverts to an ordinary revocable commission, exposing the delegate to immediate dismissal.
Extinguishment Risk
Discharge of the securing obligation immediately restores the principal’s unfettered right to terminate the agency. Once a loan is repaid in full or an option period lapses without exercise, the status of coupled with an interest dissolves by operation of law. An agent attempting to exercise voting control after loan satisfaction operates without legal authority.
The cost of failing to record formal debt discharges or option expirations appears in prolonged title disputes and paralyzed voting meetings. Clear documentation marking the exact date and hour of financial satisfaction determines whether the agency remains fully binding or falls away.
