Meaning
Ancillary agreements modify the terms of a primary transaction between specific signatories without altering the main document. This tool is common in fund raising and complex corporate acquisitions where individual arrangements are required. A private side letter frequently grants preferential treatment to early backers of a fund.
Contractual Amendment
Specific obligations are added or waived for a single investor through these bilateral agreements. They function outside the main subscription document to address unique regulatory or tax needs of that specific party. This mechanism allows a fund manager to accommodate institutional requirements without renegotiating the entire package with every participant.
Because these agreements are kept separate, they must be tracked diligently to avoid conflicting commitments to different parties.
Information Right
Additional reporting schedules are often secured using these private agreements. Some institutional allocators cannot invest without receiving frequent updates that other investors do not receive. This creates a tiered access to data among the different participants in the same fund.
Enforcement Limit
Conflicting clauses between the main contract and the side letter can create enforcement challenges. If the primary agreement contains a complete integration clause, the side letter might be found invalid during a legal dispute. This creates a risk for the beneficiary.
