Meaning
An equitable cause of action allows a service provider to recover the reasonable value of their services when no enforceable contract exists. In corporate capitalization disputes, quantum meruit restitution represents a demand for cash compensation or equity equivalent to the market value of the labor contributed to the startup. The remedy applies when a co-founder or early employee works with the expectation of receiving compensation but is terminated before a formal employment or equity agreement is signed.
This prevents the company from enjoying the benefits of unpaid labor without providing fair compensation.
Valuation Metric
Measuring the reasonable value of the services provided is the central focus of the claim. This valuation is typically based on the market rate for similar work in the same industry and region. If a developer built the initial software for a startup without pay, the court may assess what a freelance developer would have charged for that work.
This objective measure replaces the subjective equity expectations that were never finalized in writing.
Claim Requirement
The claimant must show that the services were rendered with the expectation of payment and that the company accepted those services. Silent acquiescence by the founders while the claimant performs valuable work is sufficient to establish the claim. The company cannot accept the finished product and then refuse to pay by claiming there was no formal contract.
This ensures that labor is not exploited during the early stages of enterprise formation.
Litigation Outcome
A successful claim results in a money judgment for the market value of the services rather than an award of equity.
