Meaning
Commercial arrangements often come into existence through the conduct of the parties as an alternative to a formal filing. An unregistered general partnership is created the moment two people begin to share profits and management duties in a joint venture. Many founders operate in this state without realizing the legal implications of their informal cooperation.
Default Formation
Formation happens by operation of law whenever the criteria for a partnership are met. The unregistered general partnership does not require a written agreement to be recognized by a legal authority. It is the fallback classification for any business relationship that has not yet been incorporated.
Unlimited Exposure
Exposure for the debts of the business is the primary risk in this arrangement. In an unregistered general partnership, every partner is personally liable for the actions of every other partner. There is no corporate veil to protect personal assets like a home or a savings account from the creditors of the firm.
This means that a mistake by one person can result in the financial ruin of the entire group. It is the most dangerous way to conduct a business after founding.
Structural Fragility
Fragility stems from the fact that the entity can be dissolved by the departure or death of any one member. Without a formal structure, the continuity of the business is always at risk. The unregistered general partnership lacks the permanence required for long term institutional growth.
